1.Preamble

This disclaimer (the “Disclaimer”) applies to the CertBridge teacher credential-conversion advisory service (the “Service”) operated by CertBridge Corporation, a Delaware corporation (“CertBridge”, “we”). You must, before registering an account or first using the Service, confirm acceptance of all terms of this Disclaimer by checking “I have read and agree”; without checking agreement, the Service cannot be used.

2.Nature of the Service

The Service provides teachers with guidance on teacher credential conversion pathways based on public information from the New York State Education Department (NYSED) and other sources, for informational purposes only. CertBridge is not a law firm, an immigration advisory body, or an official channel, agent, or partner of NYSED or its subdivisions (including the Office of Teaching Initiatives, OTI). The Service does not constitute legal advice, immigration advice, or an official certification decision.

3.AI-Generated Content

The Service's responses are generated automatically by artificial intelligence (a large language model) and may contain errors, omissions, or outdated information. Even when content is marked “confirmed” (🟢), we still recommend you verify directly with NYSED OTI or the official page before making a major decision (such as submitting an application, paying a fee, or adjusting work or residence plans for credential conversion). Content marked “inferred” (🟡) or “likely not applicable” (🔴) carries higher risk and must be verified independently.

4.No Guarantee of Outcome

CertBridge does not and cannot guarantee that you will obtain any particular teacher credential, pathway approval, or Endorsement. Final review and decision authority for all conversion applications rests entirely with NYSED and the relevant education authorities. CertBridge has made good-faith efforts to provide accurate information but is not liable for application outcomes, review delays, material rejections, or errors of any kind. You are fully responsible for the truthfulness of the information you submit and for the application itself.

5.No-Reliance Clause

“The information provided on the CertBridge platform regarding state teacher certification and licensure requirements is provided for general informational purposes only and does not constitute legal advice or a guarantee of a certification outcome. Certification requirements are established by each state's licensing authority and are subject to change at any time without notice. CertBridge makes no representation that the information contained herein is current, complete, or accurate for any particular user's circumstances. Users are solely responsible for verifying all requirements directly with the applicable state licensing authority prior to taking any action in reliance on information provided by CertBridge.”

6.“AS IS” — Disclaimer of Warranties

The Service is provided “as is” (AS IS) and “as available” (AS AVAILABLE), and is currently in a testing/iterative (beta) stage. To the maximum extent permitted by law, CertBridge makes no express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. CertBridge does not warrant that the Service will be uninterrupted, error-free, or that the information provided is fully accurate, complete, or up to date. You bear all risk of using the Service.

7.Limitation of Liability

To the maximum extent permitted by law:

  • (a) CertBridge shall not be liable for any indirect, special, incidental, consequential, or punitive damages arising from the use of or inability to use the Service, including but not limited to loss of goodwill, loss of profits, business interruption, lost wages, relocation costs, damage to professional reputation, or any personal or commercial loss, whether or not caused by a defect in the Service;
  • (b) CertBridge is not liable for any claim arising from errors or inaccuracies in the state licensure-requirement information contained in the Service itself;
  • (c) CertBridge's cumulative total liability to you or any third party shall in no event exceed the total fees you paid to CertBridge in the preceding 12 months, or USD $50, whichever is greater.

This limitation of liability does not apply to CertBridge's fraud, willful misconduct, or gross negligence; and aside from that, it shall continue to apply even if the exclusive remedy fails of its essential purpose.

8.Compliance with Laws

You must independently ensure that your use of the Service complies with all applicable laws and regulations of your jurisdiction. You warrant that the information you submit to the Service is true and accurate, and you are fully responsible for the teacher credential applications you submit.

9.Intellectual Property

All content, features, and underlying technology of the Service, with all rights, title, and interest, are exclusively owned by CertBridge. Except for the limited, non-exclusive, non-transferable access and use rights expressly granted in this Disclaimer, CertBridge reserves all rights not expressly granted. You may not rent, sell, sublicense, reverse-engineer, decompile, or modify the Service.

10.Data & Privacy

The collection, use, and protection of your personal information by the Service is set out in our Privacy Notice. This Disclaimer does not repeat the specific terms of the privacy policy; in case of conflict between the two, the privacy policy controls.

11.Term, Suspension & Termination

CertBridge may modify, suspend, or terminate all or part of the Service's features at any time without individual notice. If you violate this Disclaimer, CertBridge may immediately terminate or restrict your access. Upon termination, you are not entitled to any compensation or refund (where applicable).

12.Indemnification

You agree to defend, indemnify, and hold CertBridge harmless from any third-party claim arising from your use of the Service (including any decision made based on information provided by the Service), including reasonable attorneys' fees and settlement costs.

13.Eligibility

The Service is intended for education professionals or job seekers who are at least 18 years of age and have full civil capacity. If you are under 18, do not use the Service.

14.Governing Law & Venue

This Disclaimer is governed by the laws of the State of Illinois, U.S.A., without regard to its conflict-of-laws rules. Any dispute arising from this Disclaimer or the Service shall be submitted to the exclusive jurisdiction of a court of competent jurisdiction in Illinois. (Note: this is the governing law of this user agreement itself and does not affect CertBridge Corporation's internal corporate governance as a Delaware corporation, which remains governed by the Delaware General Corporation Law.)

15.Dispute Resolution: Individual Arbitration & Class Action Waiver

Except for disputes within the jurisdiction of a small claims court, any dispute, claim, or controversy between you and CertBridge arising from this Disclaimer or the Service shall be resolved through binding individual arbitration rather than court litigation or a jury trial, under the U.S. Federal Arbitration Act. Arbitration shall be conducted in Illinois under the [American Arbitration Association Consumer Arbitration Rules] before a single arbitrator, whose award is final.

You and CertBridge each waive the right to participate in any lawsuit or arbitration against the other as a class action, class arbitration, or in a representative capacity; the arbitrator has no authority to consolidate multiple users' claims or to preside over any form of class or representative proceeding.

Opt-Out: You may, within 30 days of first agreeing to this Disclaimer, email privacy@certbridge-ai.comstating “I opt out of the arbitration clause” to be exempt from this section; failing to opt out within the window means you accept it. Opting out does not affect the rest of this Disclaimer or your use of the Service.

This section does not affect CertBridge's right to seek injunctive relief for your breach of the intellectual-property terms (Section 9), which may be filed directly with a court of competent jurisdiction.

16.Changes to this Disclaimer

CertBridge may update this Disclaimer from time to time. On a material change, we will require you to re-check agreementbefore you can continue using the Service; non-material changes (such as copyediting) will be reflected by a new “Last updated” date posted on this page.

17.Severability, Waiver & Entire Agreement

If any provision of this Disclaimer is held invalid or unenforceable, the remaining provisions remain in full effect. CertBridge's failure to timely exercise any right under this Disclaimer does not constitute a waiver of that right. This Disclaimer constitutes the entire agreement between you and CertBridge regarding the Service and supersedes all prior oral or written understandings.
